Platform Terms and Conditions of Use

1. Acceptance of Platform Terms

1.1 Edstart provides its services by way of the platform on our website at https://edstart.co.uk (Platform). Edstart is a limited company registered in England and Wales (company no.: 16511252, registered address: Suite 1, 7th Floor 50 Broadway, London, United Kingdom, SW1H 0DB) (Edstart, we, our and us).

1.2 By using the Platform, you agree to these terms and conditions (Terms). Please read them carefully before using the Platform.

1.3 If you have any questions in relation to these Terms or wish to comment or complain about any content on the Platform, please contact us at contact@edstart.co.uk.

2. Changes to the Terms

2.1 We may update or change the Platform or these Terms at any time.

2.2 Please check these Terms each time you use the Platform to make sure you understand the current Terms. If you use the Platform after changes to our Terms are made, we deem this to mean you accept the new Terms.

3. Platform Purpose and Changes to Platform and Content

3.1 The Platform is designed to support the administration of school fees, based on arrangements between a school in the UK (the School) and individual who may be responsible for making payments or managing school fee matters.

3.2 You confirm that you understand that Edstart acts solely as the agent of the School. Your use of the Platform does not create any contract between you and Edstart in respect of the payment of school fees. Any agreement or arrangement for the execution of or the payment of school fees is strictly between you and the School, and Edstart is not a party to the terms of that agreement.

4. Access to the Platform and Your Account

4.1 To access the Platform, you will need to register for an account. To register for an account you need to provide information such as your name, email address and telephone number. You must ensure that the information you provide is accurate. By registering for an account, you authorise us to carry out the instructions you have given to us on the Platform.

4.2 We will handle all information collected in accordance with our Privacy Policy.

4.3 You are responsible for keeping your account details safe and current. Do not share your account details with anyone else.

4.4 If you think someone else may have access to your account, tell us straight away at contact@edstart.co.uk.

4.5 You can only use the Platform for your own personal use. You must not:(a) copy, reproduce or sell any content from the Platform or commercially exploit the content or any part of the Platform;
(b) use the Platform for anything illegal or fraudulent;
(c) try to harm the Platform, such as by introducing viruses, Trojans, worms, logic bombs or other content which is, or may be, malicious or technologically harmful to us or anyone else;
(d) try to gain unauthorised access to any part of the Platform, the server on which the Platform is stored or any server, computer or database connected to the Platform; or
(e) attack the Platform in any way.

4.6 We have the right to suspend your account at any time, if in our reasonable opinion, you have failed to comply with any of the provisions of these Terms.

5. Accuracy of Content

5.1 We try to make sure all information on the Platform is correct and up to date, but we cannot guarantee it. We are not responsible or liable for any mistakes or missing information.

6. Interruptions and Availability of the Platform

6.1 We do our best to keep the Platform running smoothly. However, sometimes, there may be errors, omissions or delays. We do not guarantee that the Platform will always be available or work without interruption.

6.2 We may need to suspend or limit access to the Platform on reasonable grounds (e.g. maintenance) and, where we consider it is appropriate and possible, we will try to give you notice.

6.3 To the maximum extent permitted by law, we will not be liable to you if, for any reason, the Platform is unavailable at any time or for any period.

7. Our Liability

7.1 We take reasonable steps to keep the Platform free from viruses and harmful content, but we cannot guarantee that your use of the Platform will not cause damage to your computer or other devices which you may access it from. You are responsible for ensuring that you have suitable equipment (including antivirus software) to use the Platform and to screen out anything that could damage or harm your computer or other devices.

7.2 To the fullest extent permitted by law, we are not liable for any loss or damage, whether foreseeable or not, that arises from:(a) your failure to keep your account details secure;
(b) your use of, inability to use, or reliance on the Platform or any information obtained from it, including any actions you take or do not take as a result; or
(c) any loss or damage to the extent that such loss or damage is increased, caused, or contributed to by your breach of these Terms or by your misuse of the Platform. This includes, but is not limited to, any unauthorised or unlawful use of the Platform, or any use of the Platform in a manner that is fraudulent or otherwise prohibited by these Terms. You are solely responsible for any consequences arising from your actions or omissions that do not comply with these Terms, and any resulting increase in loss or damage will not be recoverable from us.

7.3 Nothing in these Terms excludes or limits our responsibility where it would be unlawful to do so, such as fraud, for negligence causing death or personal injury, or for failing to use reasonable skill and care in providing the Platform.

7.4 The Platform may provide links to other websites, for example because they are relevant to the content on the Platform or are of general interest. These are run by others and will have their own terms, which you should look out for. We are not responsible for these websites, any content on them, or their policies and notices. A link does not mean we endorse the views of the linked website. We have no control over the availability of any of these websites.

8. Intellectual Property Rights

8.1 This Platform and all the information and all graphic representations or images on it (including trade marks, company names and logos) belong (or are licensed) to Edstart in the absence of any contrary indication. We are the sole legal and beneficial owner, or are the authorised licensee, of all intellectual property rights (including copyright) in and to the Platform (including its design and underlying code) and in the content published on it. No part of the text or graphics on the Platform may be reproduced or transmitted in any form or by any means, electronic or mechanical or otherwise, including by photocopying, facsimile transmission, recording, re-keying or using any information storage and retrieval system without our permission in writing or as permitted under section 8.2 below.

8.2 You can print, make copies of or download a reasonable amount of content from the Platform solely for your own personal use or reference. You agree you will not modify in any way the copies of any content that you have printed or downloaded.

8.3 You must not use any content from the Platform for business or commercial purposes, including, without limitation, any securities, investment, accounting, banking, legal or media business or enterprise.

9. Privacy Notice

9.1 Our Privacy Notice applies to your use of the Platform. Our Privacy Notice (https://edstart.co.uk/privacy-policy) explains the personal data that we collect about you and process when you use the Platform.

9.2 By using the Platform, you agree that you have read and understood our Privacy Notice and Cookies Notice. You confirm that all personal data you provide by via the Platform is accurate and, if applicable, you have the third party's permission to provide the personal data of that third party to us via the Platform and have brought the Privacy Notice to the attention of that third party.

10. General

10.1 If any part of these Terms is invalid, illegal or unenforceable, the rest of the Terms will still apply.

10.2 These Terms set out the entire agreement between you and Edstart in relation to access to and use of the Platform, and the content on the Platform, and supersede any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by applicable law.

10.3 These Terms shall be governed by and construed in accordance with the laws of England. The courts of England and Wales will have exclusive jurisdiction, except that residents of Northern Ireland or Scotland may also bring proceedings in their respective jurisdictions.
